Terms of service
These terms explain how Vecodes, Inc. provides async AI software, automation, and systems implementation services.
1. Agreement to these terms
These Terms of Service govern your access to and use of the website, client portal, project board, subscription services, software builds, automations, AI workflows, documentation, and related services provided by Vecodes, Inc. By using the site or purchasing services, you agree to these terms.
2. Services
Vecodes provides async software implementation services, including custom software, AI agents, workflow automation, dashboards, CRM setup, landing pages, integrations, and related technical delivery. The scope, plan, pricing, queue rules, delivery cadence, and included services are described on the site, in an order form, invoice, proposal, or written agreement.
Unless a separate written agreement says otherwise, services are provided as a subscription or retainer. Requests are handled one active request at a time, with additional requests kept in queue.
3. Client responsibilities
You are responsible for providing accurate project instructions, account access, credentials, brand assets, third-party tool permissions, data, approvals, and timely feedback. You are also responsible for maintaining ownership and payment status of your own domains, hosting, databases, SaaS tools, APIs, and third-party accounts.
You must not provide materials that violate law, infringe third-party rights, contain malware, or require Vecodes to build systems for unlawful, deceptive, abusive, or harmful purposes.
4. Third-party tools and accounts
Many deliverables are built inside your own accounts, such as hosting providers, databases, automation tools, CRM systems, email platforms, payment processors, AI providers, analytics tools, or other services. Those services are governed by their own terms, fees, limits, uptime, data practices, and support obligations.
Vecodes is not responsible for outages, policy changes, pricing changes, account suspensions, API limitations, or data loss caused by third-party providers.
5. Fees, billing, pauses, and cancellation
Fees are due according to the plan, invoice, checkout page, or written order. Subscription fees may be billed in advance. You may pause or cancel according to the plan terms shown at purchase or otherwise agreed in writing.
Pausing a subscription stops new active work after the current request or billing rules allow. Any rollover, credit, or unused time policy applies only if it is expressly stated on the plan or agreed in writing.
6. Refunds
If the site or checkout page offers a refund window, that refund policy controls. Unless a refund is expressly offered in writing, completed work, delivered work, setup work, strategy work, and active subscription periods are non-refundable to the maximum extent permitted by law.
7. Ownership and license
After full payment, you own the custom deliverables created specifically for you, excluding Vecodes pre-existing materials, generic know-how, reusable components, internal tools, open-source software, third-party materials, and underlying platforms. Vecodes grants you a perpetual, non-exclusive license to use any Vecodes pre-existing materials included in a deliverable as necessary to use that deliverable.
You represent that you have the right to provide all materials you submit. You grant Vecodes permission to use those materials solely to provide the services.
8. AI-assisted work
Vecodes may use AI tools, code assistants, automation platforms, and similar technologies to help provide the services. You are responsible for reviewing business, legal, compliance, medical, financial, or regulated outputs before using them. AI-assisted outputs may require human review, testing, security review, and legal approval before production use.
9. Confidentiality
Each party may receive non-public business, technical, customer, or operational information from the other. The receiving party will use reasonable care to protect confidential information and will use it only to perform or receive the services. Confidentiality obligations do not apply to information that is public, independently developed, already known, or lawfully received from a third party.
10. Acceptable use
You may not use the services to build or operate systems that are unlawful, infringing, deceptive, malicious, privacy-invasive, exploitative, or designed to bypass security controls, platform rules, or legal obligations. Vecodes may refuse or stop work on requests that create legal, security, platform, reputational, or operational risk.
11. No warranties
The website and services are provided on an "as is" and "as available" basis. Vecodes does not warrant that deliverables will be uninterrupted, error-free, compatible with every third-party service, or suitable for every business purpose. You are responsible for testing, backups, compliance review, and production approvals before relying on any deliverable.
12. Limitation of liability
To the maximum extent permitted by law, Vecodes will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or third-party platform failures. To the maximum extent permitted by law, Vecodes' total liability for any claim is limited to the amount you paid to Vecodes for the affected services during the three months before the event giving rise to the claim.
13. Indemnification
You agree to defend, indemnify, and hold harmless Vecodes from claims, losses, damages, liabilities, costs, and expenses arising from your materials, your instructions, your use of the deliverables, your violation of these terms, or your violation of law or third-party rights.
14. Termination
Either party may stop using or providing services as allowed by the applicable plan, invoice, or written agreement. Vecodes may suspend or terminate services immediately if you fail to pay, misuse the services, create security risk, violate these terms, or request work that Vecodes reasonably believes is unlawful or harmful.
15. Changes to these terms
Vecodes may update these terms from time to time. The updated version will be posted on this page with a new effective date. Continued use of the site or services after changes become effective means you accept the updated terms.
